Corporate governance

MilDef Group AB is a Swedish public limited liability company. Corporate governance is mainly based on Swedish law, primarily the Swedish Companies Act, the company’s Articles of Association, internal rules, policies, and regulations. With the admission of the company’s shares on Nasdaq Stockholm, MilDef will also comply with the Nordic Main Market Rulebook for Issuers of Shares (Nasdaq Stockholm’s regulations for issuers) and the Swedish Code of Corporate Governance (the Code).

The Code applies to all Swedish companies whose shares are listed on a regulated market in Sweden. It sets a standard for good corporate governance at a higher level of ambition than the Swedish Companies Act and the minimum requirements of other rules. The Company does not have to comply with all the rules in the Code as the Code itself allows for deviation from the rules, provided that such possible deviations and the chosen alternative solution are described and the reasons for this are explained in the corporate governance report (according to the so-called “follow or explain principle”). MilDef will apply the Code from the time of admission to trading of the company’s shares on Nasdaq Stockholm. The Company will report on any future deviations from the Code in its corporate governance report.
